These Terms of Service (“Terms”) constitute a legally binding agreement between you ("you", "your", or "the Customer") and Dane Commercial Services Ltd, trading as SafeSFTP.com (“SafeSFTP”, “we”, “us”, or “our”), a company registered in England and Wales with company number 16193091 and registered office at 61 Bridge Street, Kington, United Kingdom, HR5 3DJ.
These Terms govern your use of all services offered by SafeSFTP, including your access to and use of our secure file transfer platform. By using our services or registering an account on https://www.safesftp.com ("the Website"), you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and Refund Policy.
"Account" refers to the registered user profile created to access the SafeSFTP platform.
"Agreement" refers collectively to these Terms of Service, the Privacy Policy, Refund Policy and any supplementary documents that govern your use of the Services.
"Customer Data" refers to the files, content, and information uploaded, transferred or stored by you through SafeSFTP.
"Services" refers to the secure file transfer and hosting services provided by SafeSFTP, including SFTP access, automated file handling, antivirus protection, and any optional paid add-ons such as encrypted backups.
"Subscription Plan" refers to the specific pricing and resource allocation tier selected by the Customer.
"Virus" includes any virus, malware, ransomware, spyware, or other malicious code that may damage, corrupt, or compromise data or systems.
SafeSFTP is a cloud-based file transfer platform designed to facilitate secure, encrypted file exchange via SFTP and related protocols. Access is granted on a subscription basis. The core service includes encrypted storage, automated antivirus scanning, secure user account access, optional programmatic API interaction, and—where purchased separately—encrypted backup services.
We provide these services on an “as is” and “as available” basis. While we make commercially reasonable efforts to ensure uptime and availability, we do not guarantee uninterrupted service and may suspend access temporarily for maintenance or system upgrades.
To use SafeSFTP, you must be at least 18 years of age and legally capable of entering into a binding contract. By registering an account, you represent and warrant that the information you provide is accurate and complete and that you have the authority to bind the organisation or business you represent.
You are responsible for safeguarding your login credentials and all actions taken under your account. You agree to notify us immediately if you suspect any unauthorised access or breach of security.
You agree to use the Services only for lawful purposes, in accordance with applicable laws and these Terms. You are solely responsible for the content you upload, transfer, or store using SafeSFTP, and for any actions taken by users operating under your account.
You must not use the Service to upload or distribute material that is unlawful, harmful, defamatory, obscene, or infringing. You must not attempt to access or probe the systems or data of other users, circumvent authentication systems, introduce malware, or otherwise interfere with the platform.
You must not use the Service to store or transmit sensitive data—including data subject to the Health Insurance Portability and Accountability Act (HIPAA), biometric information, or other special categories of personal data as defined under UK GDPR—without first notifying us and entering into a written data processing agreement. Failure to do so constitutes a material breach of these Terms and may result in immediate termination of your account.
Antivirus protection is a core component of the SafeSFTP platform. All uploaded content is automatically scanned using industry-standard antivirus tools to detect and prevent the spread of malicious code.
If a file you upload is flagged by our system as infected or potentially harmful, it may be automatically and permanently deleted without prior notification to you. You agree that SafeSFTP shall bear no responsibility for the loss or deletion of any file that is detected as infected. It is your sole responsibility to maintain local backups of critical data and to ensure that files uploaded to the platform are safe.
This antivirus scanning feature is mandatory and cannot be disabled or circumvented.
Encrypted backup services are offered as an optional, chargeable add-on. If purchased, backups are provided in the same storage quantity as your Subscription Plan. For example, a user with a 100GB plan is entitled to up to 100GB of encrypted backup storage.
If you upgrade your primary Subscription Plan, any associated backup service is automatically cancelled. No refunds or credits will be issued for unused time on a cancelled backup. A new backup service matching the upgraded plan must be purchased if you wish to continue receiving backups.
SafeSFTP is not responsible for the loss or unavailability of data in the absence of an active backup service. You accept full responsibility for any data stored on the platform and acknowledge that purchasing and maintaining backups is your responsibility unless explicitly included in your plan.
Subscription fees are payable in advance, on a recurring basis, according to the billing cycle associated with your selected plan. All charges are final and non-refundable unless otherwise stated in our Refund Policy.
By submitting payment information, you authorise SafeSFTP to charge the applicable fees using your selected payment method. Failure to maintain valid payment details may result in account suspension or termination.
SafeSFTP reserves the right to revise pricing or modify plan features. If any such changes affect your current Subscription Plan, you will be notified at least thirty (30) days in advance. Continued use of the Service after this period will be deemed acceptance of the updated terms.
You may terminate your subscription at any time by initiating cancellation via your account settings. Cancellation is effective immediately, and access to your account and files will be revoked without delay. No refunds or credits will be provided for early cancellation.
SafeSFTP may, at its sole discretion, suspend or permanently terminate your account without notice if we determine that you have violated these Terms, failed to pay required fees, used the Services for unlawful purposes, engaged in behaviour that poses a security or stability risk to the platform, or initiated a chargeback without merit.
In the event of termination by SafeSFTP, your data may be deleted and we will not be obligated to retain or provide access to your content.
All intellectual property rights in the Services, including but not limited to the platform’s software, design, trademarks, and associated documentation, are the exclusive property of Dane Commercial Services Ltd or its licensors.
By using the Service, you are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the platform in accordance with these Terms. You may not copy, reverse engineer, distribute, modify, or create derivative works based on the Service without prior written consent.
Any feedback or suggestions submitted to us may be used freely by SafeSFTP without obligation or compensation.
SafeSFTP provides the Services “as is” and “as available”, without any express or implied warranties. We make no representations as to merchantability, fitness for a particular purpose, availability, error-free performance, or non-infringement.
We do not guarantee that files will be recoverable in all circumstances, nor that the Service will operate uninterrupted or free of errors. Use of the Service is at your sole risk.
To the maximum extent permitted by law, SafeSFTP shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, use, goodwill, or other intangible losses arising from or relating to your access to or use of the Services.
In no case shall our aggregate liability to you exceed the total amount paid by you to SafeSFTP for the Services in the twelve (12) months preceding the claim.
Nothing in this Agreement shall limit or exclude liability for death or personal injury caused by negligence, fraud, or any other liability which may not lawfully be limited or excluded.
SafeSFTP collects and processes limited personal information in accordance with our Privacy Policy. Where required, and particularly when you upload personal data of third parties, you may be required to enter into a Data Processing Agreement (DPA) with us to comply with UK GDPR and related laws.
It is your responsibility to ensure you have obtained all necessary consents and complied with all applicable laws before storing personal or sensitive data using the Service.
These Terms shall be governed by and construed in accordance with the laws of England and Wales. You irrevocably agree that the courts of England shall have exclusive jurisdiction to settle any dispute arising out of or in connection with this Agreement, its subject matter, or its formation.
